Overview

These Terms of Service ("Terms") govern your use of the website eliteautoexchange.com.au and any vehicle purchase services provided by Elite Auto Exchange Pty Ltd (ABN 68 667 477 812) ("Elite Auto Exchange", "we", "us", "our"). By submitting an enquiry or otherwise engaging our services, you agree to be bound by these Terms.

1. Service Description

Elite Auto Exchange provides a vehicle valuation and purchase offer service for private sellers of used motor vehicles in Melbourne, Victoria, and surrounding areas. We assess vehicle information provided by you, prepare a purchase offer, and — subject to these Terms — may proceed to purchase your vehicle via a physical inspection and same-day payment.

2. Purchase Offers

2.1 Offer Validity

All purchase offers provided by Elite Auto Exchange are valid for 48 hours from the time they are communicated to you. After this period, the offer lapses and we reserve the right to reassess the vehicle at current market conditions before providing a revised offer.

2.2 Subject to Physical Inspection

All offers are conditional upon a physical inspection of the vehicle confirming that its condition materially matches the description you provided. If the vehicle's condition at inspection is found to differ materially from what was described — including (but not limited to) undisclosed damage, mechanical faults, accident history, or higher odometer readings — we reserve the right to revise or withdraw the offer.

2.3 No Guarantee of Purchase

Submitting an enquiry or receiving an offer does not constitute a binding agreement to purchase. Elite Auto Exchange reserves the right to decline to purchase any vehicle at our absolute discretion, including (but not limited to) circumstances where the vehicle cannot be inspected, the seller's ownership cannot be verified, there are unresolved encumbrances, or the vehicle does not meet our purchasing criteria.

3. Payment Terms

Where a purchase is agreed and the vehicle passes inspection, payment will be made by OSKO bank transfer on the same day as the inspection and handover. OSKO transfers are typically received within minutes, though we do not guarantee any specific bank processing time. Payment will be made to a bank account held in the name of the registered owner of the vehicle.

4. Seller Warranties

By proceeding with a sale, you warrant and represent that:

• You are the registered and legal owner of the vehicle (or are duly authorised to sell it on the owner's behalf).
• The vehicle is free from any finance, mortgage, lien, or other encumbrance — or, if any encumbrance exists, you have fully disclosed it to us prior to sale and agree to its discharge from sale proceeds.
• All information you have provided about the vehicle (including its condition, history, and specifications) is accurate and not misleading.
• You are of legal age to enter into a binding contract under the laws of Victoria, Australia.

You agree to indemnify Elite Auto Exchange against any loss, claim, or liability arising from a breach of any of the above warranties.

5. PPSR & Encumbrance Checks

We may conduct a Personal Property Securities Register (PPSR) search on any vehicle prior to purchase. If a security interest is recorded against the vehicle, the purchase offer may be revised or withdrawn until the encumbrance is resolved or the net payable amount is agreed upon with the relevant financier.

6. Limitation of Liability

To the maximum extent permitted by law, Elite Auto Exchange's liability to you arising out of or in connection with these Terms or the provision of our services is limited to the amount paid (if any) in the relevant transaction. We are not liable for any indirect, incidental, or consequential loss. Nothing in these Terms excludes any rights you may have under the Australian Consumer Law that cannot be lawfully excluded.

7. Governing Law

These Terms are governed by the laws of Victoria, Australia. You submit to the non-exclusive jurisdiction of the courts of Victoria for any dispute arising under these Terms.

8. Changes to These Terms

We may update these Terms from time to time. Any changes will be published on this page with a revised "Last updated" date. Continued use of our services after changes are posted constitutes your acceptance of the updated Terms.
